Signalant Terms of Service

1. Acceptance of Terms

By creating an account, accessing Signalant, or clicking "I agree," you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Eligibility

You must be at least 18 years old to use Signalant. By using the Service, you represent and warrant that you meet this requirement and that your use of Signalant does not violate any applicable law or regulation in your jurisdiction.

3. Account Registration and Security

To access most Signalant features, you must create an account using a valid email address and password or a supported OAuth provider (Google). You agree to:

• Provide accurate and complete registration information
• Keep your password and account credentials confidential
• Notify us immediately at support@signalant.io if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

JDS reserves the right to suspend or terminate accounts that provide false registration information or that exhibit signs of unauthorized use.

4. Subscription Plans and Recurring Billing

Signalant offers a free plan and paid subscription plans:

• Free — Limited features, no payment required
• Show OS — Monthly subscription, billed in advance
• Podcast Pro — Monthly subscription, billed in advance
• Additional agency and partner plans may be available as described on the pricing page

By subscribing to a paid plan, you authorize JDS to charge your designated payment method on a recurring monthly basis until you cancel. Prices are displayed in US dollars and are subject to change with 30 days' prior notice.

5. Stripe Payment Processing

All payment processing is handled by Stripe. By subscribing, you agree to Stripe's Terms of Service. JDS does not store your complete card number or CVV. Stripe's handling of your payment information is governed by Stripe's Privacy Policy.

Signalant does not facilitate payments between users. There is no user-to-user payment system, peer-to-peer transaction feature, escrow, partner payout, or marketplace payment function within the platform.

6. Cancellation and Account Termination

You may cancel your paid subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then. No refunds are issued for partial billing periods.

You may request full account deletion at any time via our Data Deletion page or by emailing support@signalant.io. Account deletion is permanent and irreversible. See our Privacy Policy for details on what data is retained after deletion.

7. Acceptable Use

You agree not to use Signalant to:

• Send unsolicited commercial messages in violation of CAN-SPAM, GDPR, CASL, or any applicable anti-spam law
• Harvest, scrape, or collect contact data for purposes other than legitimate podcast guest outreach or business development
• Attempt to reverse-engineer, decompile, or exploit the Signalant platform or its APIs
• Upload or transmit content that is illegal, defamatory, harassing, or infringes any third-party intellectual property rights
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Circumvent, disable, or interfere with security-related features of the Service
• Use the platform in a way that disrupts other users or the availability of the Service
• Violate any applicable local, state, national, or international law or regulation

You are solely responsible for the content and legality of any outreach messages composed or sent through Signalant. The platform's compliance tools assist with regulatory adherence but do not guarantee legal compliance in your jurisdiction.

8. User-Provided Content

You retain ownership of all content you provide to Signalant — including show information, guest lists, outreach copy, knowledge base entries, and podcast data. By using Signalant, you grant JDS a limited, non-exclusive, worldwide license to process, store, and display your content solely to provide the Service to you. JDS does not claim ownership of your content and will not use it for any purpose other than operating the Service.

9. Podcast and Business Information

Signalant allows you to store detailed information about your podcast, guests, leads, agencies, and business contacts. You represent that you have lawful basis to collect and process any personal data you enter about third parties (such as podcast guests or prospective guests) under applicable privacy law, including GDPR, CCPA, and CASL where applicable.

10. Guest and Partner Connections

Signalant provides tools to help you identify, outreach to, and manage relationships with potential podcast guests and partners. Signalant does not guarantee that you will book specific guests, close partnerships, or receive responses to outreach. Any connection made through the platform is between you and the other party; JDS is not a party to those relationships.

11. No Guarantee of Results

JDS makes no representations or warranties regarding outcomes. Signalant does not guarantee:

• Guest bookings, confirmed recordings, or episode completions
• Client acquisitions, leads, or business referrals
• Revenue, monetization, or return on investment
• Audience growth, download numbers, or listener engagement
• Search rankings, social media performance, or brand outcomes

Results depend on factors entirely outside JDS's control, including the quality of your show, the relevance of your outreach, and the decisions of third parties.

12. AI-Assisted Outputs and Human Review

Signalant uses the Anthropic Claude API to generate pitch drafts, preparation documents, ICP scores, and outreach suggestions. You acknowledge and agree that:

• AI-generated outputs are drafts and recommendations only — not legal, financial, or professional advice
• You are required to review all AI-generated content before taking any action
• Signalant does not automatically send messages, emails, or communications on your behalf without your explicit confirmation
• JDS is not responsible for decisions you make based on AI-generated outputs
• AI outputs may contain inaccuracies and should be verified before use

13. Intellectual Property

The Signalant platform, software, user interface, brand, and all associated intellectual property are owned by JDS or its licensors. Nothing in these Terms transfers any ownership of JDS intellectual property to you. You may not use the Signalant name, logo, or brand assets without prior written permission from JDS.

14. Third-Party Services

Signalant integrates with third-party services including Google (authentication), Stripe (billing), Supabase (database), Anthropic (AI), Resend (email), and optionally Apollo, Buska, and PDL (guest discovery). Your use of these services is subject to their respective terms and privacy policies. JDS is not responsible for the acts or omissions of third-party providers.

15. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Signalant, you consent to the data practices described in the Privacy Policy.

16. Suspension and Termination

JDS may suspend or terminate your access to Signalant at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive conduct, or if required by law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 8, 13, 17, 18, 19, and 20) will survive.

17. Disclaimers

Signalant is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. JDS does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

18. Limitation of Liability

To the maximum extent permitted by applicable law, JDS and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of Signalant.

Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid JDS in the three (3) months preceding the event giving rise to the claim.

19. Indemnification

You agree to indemnify, defend, and hold harmless JDS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of Signalant; (b) your violation of these Terms; (c) your violation of any third-party right, including privacy, intellectual property, or contractual rights; or (d) the content of outreach messages you send through the platform.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Leon County, Florida for the resolution of any dispute arising under these Terms.

21. Changes to These Terms

JDS reserves the right to update these Terms at any time. We will notify you of material changes by email and by posting an updated version with a revised effective date at least 14 days before changes take effect. Continued use of Signalant after changes take effect constitutes your acceptance of the revised Terms.
